ESA conducts in-depth searches for proprietary platform-sized opportunities in client defined sectors. These are direct owner discussions not involving auction processes. ESA utilizes a deep understand of client competitive advantages relevant to the target sector and adjacent sectors to differentiate approach from other intermediaries. This is combined with broad spectrum approach methodology and multiple waves of varied communications resulting in generation of interest, qualification of targets, preparation of information template and tee up of target/client calls.
ESA conducts in-depth searches for proprietary bolt-on opportunities in client defined sectors, often simultaneously with the primary platform search. Similarly these are direct owner discussions, but these discussions differ in that the companies must be a strategic fit with the overall platform and owners must be willing to part with control stakes in order to achieve the necessary integration. Owners must also be open to losing their executive positions. In exchange, valuations typically are higher than pure financial investments.
In some sectors where there is a distinct drop off from the largest market leaders, with few middle sized companies but many small companies, a roll up can be an attractive strategy vs. a platform buy and build. ESA has direct experience finding suitable CEOs for roll-ups as well as roll-up investment components, often in a simultaneous search. In some instances the CEOs of targeted roll up component companies are suited to manage the overall platform, but typically executives who have led larger companies in similar sectors will be sought.
ESA brings particular sector expertise for both executives and investment opportunities in the following sectors: IT Services, particularly around cyber security, data protection, forensic IT, compliance, data centers, disaster recovery, backup, business continuity, risk; logistics services, particularly relating to warehouse automation, material handling, and last mile services; forensic engineering; other loss, loss prevention, and litigation related services, multi-location healthcare services, including dental; foods and pet foods.
All investment opportunities sourced and introduced by ESA are proprietary, non-auction opportunities, typically without involvement of any sell-side advisers. ESA has developed unique multi-step and multi-channel methodologies for breaking through to target company ownership and developing substantial discussions with ownership around financial and strategic investment partnerships.
Glenn M. Fortin, the founder of Equity Search Associates, brings over 25 years of experience as a private equity principal, investment banker and attorney. In these capacities he has direct intensive experience in the structuring, negotiation and closing of fund formations, platform acquisitions, roll-ups, add-on acquisitions, senior and mezzanine loan facilities, strategic exits and public offerings. Glenn also has participated in several dozen sponsor-management team negotiations in the context of private equity investments, gaining a deep understanding of the dynamics and structures of these relationships.
While ESA maintains one or more retained relationships at any time, the firm prefers to work on a success fee basis with most clients. The firm has developed tier fee structures which are driven by the level of probability and time frames to closing of different types of executive searches and opportunity searches.
